Transfer of Deeds or Names on Title Deeds
 
Execution of Deeds following appointment of a nominee, supervisor, administrator, receiver or liquidator

Administrative Receivership

An Administrative Receiver is authorised to use the Company's seal and to execute Deeds in the name an on behalf of the Company (section 42(1) and paragraphs 8 and 9 of schedule 1 Insolvency Act 1986).

Land Registry can accept a Deed executed by the Administrative Receiver in either of the following forms:

Executed as a Deed by affixing       [common seal of Company]
the common seal of (name of
Company) in the presence of

Where the application is made by Conveyancing Solicitors and Property Lawyers for registration based on a disposition by an Administrative Receiver, Land Registry require the documentation and evidence referred to in section: Receivership.


Liquidation

A disposition made by a Company in liquidation may be executed either by the Liquidator affixing the common seal and signing the document to attest that the seal has been affixed in their presence, or by the Liquidator signing the document as a Deed in the name and on behalf of the Company.

So, the following attestation clauses might be used:

The Conveyancing Solicitors and Property Lawyers will need to send in evidence of liquidation with the Deed.

 
Execution of Deeds by Trustees of Charities

Where the Charity Trustees are individuals:

The general principle that all owners of a legal Property must execute a disposition applies to Charity Trustees. However section 82 Charities Act 1993 allows Charity Trustees to delegate to no fewer that two of their number authority to execute, in the names of and on behalf of all the trustees, any Deed giving effect to a transaction to which the trustees are a party.

Land Registry will require evidence of the delegation from Conveyancing Solicitors and Property Lawyers if:
- the disposition is for money or money's worth and there is no reason to doubt the good faith of the person in whose favour it is made
- the Deed states that it has been executed in pursuance of section 82, Charities Act 1993.
