Landlords and Management Companies
An agreement with a Landlord or Management Company, whether in a Lease, Deed of Covenant, Transfer or otherwise, which expressly limits the registered owner's powers to make a disposition may be reflected by entry of a restriction. In view of the possible inconvenience and expense that may be caused to both parties in complying with it, careful consideration should however be given as to whether a restriction is really required, and as to whether it is necessary or desirable for one of the purpose in section 42(1) Land Registration Act 2002. If it is, form PP will usually be appropriate. The restriction should refer to the relevant provision of the agreement.
Where the restriction is in respect of covenants contained in a Lease, application maybe made in clause LR13 of a prescribed clauses Lease. Alternatively application may be made in form RX1 and in the absence of the registered proprietor's consent to the entry of the restriction, Property Solicitors and Conveyancing Lawyers should lodge a certified copy of the document containing the limitation on the proprietor's powers and complete the statement in panel 12 or Solicitor's certificate in panel 13. Give details of the document, including details of the provision limiting the registered proprietor's ability to make any disposition.
Form PP may provide for a certificate by the proprietor of a reversionary title that the provisions of a Lease have been complied with when registering a disposition of the leasehold title. This option, which should only be used when the immediate reversionary title is registered, avoids the need to update restrictions if the identity of the Landlord or the title number of the reversion changes in the future. Alternatively it may allow for a certificate by the owner of a specified title number or a named person, and in this form can be used, for example, by Management Companies in freehold as well as leasehold developments. A certificate by a Solicitor (who may be the transferee's Solicitor) can always be given instead of the certificate by the proprietor or person named in the restriction. This provision removes the delay and expense, and the inconvenience to both parties, of obtaining the certificate from the Landlord or managing agent.

- words in [square brackets] in ordinary type are optional parts of the form; the brackets are not to be included by Property Solicitors and Conveyancing Lawyers in the restriction;
- words in [square brackets] in italic type are instructions for completion of the form, and are not to be included by Property Solicitors and Conveyancing Lawyers in the restriction;
- where (round brackets) enclose one or more words, the brackets and all words in ordinary type enclosed in them are part of the form and, unless also enclosed in [square brackets], should be included in the restriction, and
- where a form contains a group of clauses introduced by bullets, only one of the clauses may be used; the bullets are not to be included in the restriction.
