Buying and Selling Leases
Bulk applications affecting one or more Land Registry Office
In this section:
'application' means an application to register a disposition (eg a transfer or mortgage) made by one legal owner or mortgagee (who may comprise one or more legal persons) to one buyer or mortgagee (who may also comprise one or more legal persons). Conveyancing Solicitors and Property Lawyers cannot combine transfers by multiple sellers to one buyer, or by one seller to multiple buyers in a single instrument. Mortgages by different owners, even though comprised in a single document and in favour of one mortgagee, are separate dispositions and each requires its own separate application;
'CAS' means the Commercial Arrangements Section at Land Registry Head Office;
'Companies Acts' mens the Companies Act 1985 and Companies Act 1989;
'LSA' means a large scale application which is an application comprising a common deed or deeds affecting registered and/or unregistered Land in areas covered by one or more Land Registry office, and which affects more than 200 properties either comprising wholly registered titles or any combination of registered titles and unregistered properties exceeding 200 in total. An application affecting more than 50 unregistered properties also falls within this definition;
'oversea company' means a company incorporated in a foreign state or jurisdiction other than England, Wales or Scotland.
'prescribed Lease clauses' means any Lease granted on or after 19 June 2006 which is required by rule 58A Land Registration Rules 2003 to contain the prescribed clauses set out in schedule 1A Land Registration Rules 2003;
'SSA' means a small scale application which is an application comprising a common deed or deeds affecting registered and/or unregistered Property in areas covered by more than one Land Registry Office, and which affects 200 or fewer registered and/or 50 or fewer unregistered Properties. This does not include a follow-up application to an existing Large Scale Application which must be referred to Head Office;
'UK Company' means a company incorporated in England and Wales or Scotland under the current Companies Act or other UK legislation.
This section provides information for Conveyancing Solicitors and Property Lawyers on how to prepare and lodge applications which affect properties falling within areas served by more than one Land Registry office. Examples of such applications include:
- transfer of mortgage portfolios
- multiple sales of Commercial Properties from one Company to another
- bulk acquisitions of titles to freehold reversions (ground rents)
- the voluntary first registration of a portfolio of unregistered Properties or a large estate.
Before lodging the application, Conveyancing Solicitors and Property Lawyers should identify the Land Registry office affected by the application.
The Greater London area is served by several Land Registry offices, so particular care should be taken when dealing with Properties in this area.
Where the application is a Small Scale Application and affects only areas administered by a single Land Registry office, Conveyancing Solicitors and Property Lawyers should contact the customer service manager at that office. They will then arrange for someone to contact the Conveyancing Solicitors and Property Lawyers to explain the procedures involved. If necessary, Conveyancing Solicitors and Property Lawyers can arrange a meeting to discuss the transaction.
Where more than one Land Registry office is involved and the application is a Small Scale Application, Conveyancing Solicitors and Property Lawyers should contact the customer service manager at the office that administers the largest number of affected titles. They will arrange for the Conveyancing Solicitors and Property Lawyers to be guided through the relevant requirements for registration.
However, where a Large Sale Application is involved, Conveyancing Solicitors and Property Lawyers should contact the Commercial Arrangements Section at Head Office. The Commercial Arrangements Section will provide technical advice on the best way of preparing and lodging the application and will also arrange for a nominated Land Registry Office to deal with the application. Commercial Arrangements Section will also prepare a written order under the Land Registrations (Proper Office) Order 2007 that permits Conveyancing Solicitors and Property Lawyers to lodge an application at a nominated Land Registry Office which does not administer any of the titles affected by the application.
