Buying and Selling Leases
 
Bulk applications affecting one or more Land Registry Office

Change of name and / or change of address for service

Changes of name as the result of a statutory vesting or transfer of engagements are substantive applications that require completion by registration.  Conveyancing Solicitors and Property Lawyers must always refer this type of application to the Commercial Arrangements Section.

If the application is simply a request to change the name of a UK Company registered under the Companies Acts, which has Land holdings or registered charges (Mortgages) in England or Wales and is already entered on the register, then the simplest way to deal with the matter would be to lodge separate certified copies of the appropriate certificate of incorporation of change of name at each Land Registry Office affected, together with a list of the title numbers appropriate to that office under cover of a completed form AP1.  However, where there are more than 100 Property deeds affected, Conveyancing Solicitors and Property Lawyers should first contact the Commercial Arrangements Section at Head Office as it may be preferable to have a Land Registry office allocated for the application.

Changes of name, vestings or mergers of oversea Companies that have Land / Property holdings or registered Mortgages in England or Wales should initially be referred to the Commercial Arrangements Section by telephone or in writing if preferred.


Who will deal with the application?

Where Conveyancing Solicitors and Property Lawyers have contacted one of the Land Registry offices, they will process the application.  

Where Conveyancing Solicitors and Property Lawyers have contacted the Commercial Arrangements Section, they will either arrange for a Land Registry Office to be be nominated to deal with the application or to act as a controller for a group of Land Registry offices nominated to assist with the application.  The Commercial Arrangements Section will issue instructions to staff processing the application and provide Conveyancing Solicitors and Property Lawyers with written details of the steps they need to take, the timetable of lodgement and the method of calculating the fees.

Conveyancing Solicitors and Property Lawyers will be given a local contact name and telephone number.  The contact will be responsible for processing the application and will be available to discuss any problems that may arise.

Where the application relates solely to unregistered Property, the Commercial Arrangements Section will arrange for a member of the Registry Development Team to contact the Conveyancing Solicitors and Property Lawyers.

Please note that once the application has been lodged at a Land Registry office they will assume the operational responsibility and it becomes subject to the normal registration procedures.  Once the application has been lodged at the Land Registry office, the Commercial Arrangements Section will no longer be involved.


Do you need to lodge all of the applications in one go?

If it is more convenient for Conveyancing Solicitors and Property Lawyers to lodge the application in a number of tranches, this can usually be arranged.  The Commercial Arrangements Section will consider any such request and advise on lodgement procedures.

Please ensure that bundles of documents and boxes do not exceed 12 Kg in weight, as this is a safe weight for one person to lift.  Each bundle should be numbered and should have a sheet attached listing the documents within the bundle / case. The boxes should also be numbered and a manifest provided to enable staff to find documents easily.

Each deeds bundle relating to a first registration must include its own form FR1 and form DL.


Stamp Duty Land Tax

Conveyancing Solicitors and Property Lawyers will need to supply a land transaction return certificate with the application if appropriate.  Land Registry cannot register any Land transaction without such a return or form unless the transaction is an exempt interest or is the subject of a statutory exemption.  Applications received without the relevant certificate will normally be returned to the Conveyancing Solicitors and Property Lawyers.
