Buying and Selling Leases
Bulk applications affecting one or more Land Registry Office
Where the application contains one or more of the following, the Conveyancing Solicitors and Property Lawyers should bring it to the attention of the Land Registry:
- UK companies or corporations with major national interests
- Oversea companies or other oversea organisations
- Formal approval of mortgage documentation, sought in the circumstances described in section: Do I need to seek prior approval of any charge?
- Documents executed other than in accordance with section 36A Companies Act 1985 or section 74 Law of Property Act 1925.
Where the application is complex or affects a number of Land Registry offices, Land Registry may invite the Conveyancing Solicitors and Property Lawyers to Head Office in London, if practicable, to discuss the procedures and the content of the forms. The meeting will be arranged at a mutually convenient time. Where possible, the Commercial Arrangements Section will arrange for a representative from the Land Registry office that will handle the application to be present, either in person or via a video link.
Voluntary first registration
Where there are voluntary first registration applications affecting a large area of Land or more than 20 individual voluntary first registrations Conveyancing Solicitors and Property Lawyers should contact the Register Development Team to discuss the registration requirements, timescales and allocation of the project to a Land Registry office and, where the project requires, arrange for a visit to the Solicitors office to discuss the project in more detail.
The forms?
This depends on the nature of the transaction.
Where the Property is wholly registered, Conveyancing Solicitors and Property Lawyers should use either:
- form TR4 - for a transfer of a portfolio of registered charges, or
- form TR5 - for a transfer of a portfolio of titles (whole or part).
When the transaction involves transfers of part and/or Property which is not yet registered, Conveyancing Solicitors and Property Lawyers should use either:
- form TP2 - transfer of Land (part) under the power of sale by a registered chargee, or
- form TR5 - for a transfer of a portfolio of titles (whole or part)
Each transfer deed must be supported by application(s) relating only to titles affected by that deed. Conveyancing Solicitors and Property Lawyers may use one form AP1 to apply for the registration of the transfer of all affected registered titles.
The situation is different for unregistered Property. Conveyancing Solicitors and Property Lawyers must use a separate form FR1 in respect of each unregistered Property transferred by the deed to provide the appropriate certificate as to title investigation. A document list, form DL (in duplicate), must be provided with each form FR1. However, please note that an application to register a dispositionary Lease out of a registered title must be made using form AP1 and not form FR1.
Continuation pages for any panel on the transfer forms must be on form CS. Free format continuation sheets are not permitted. However, Conveyancing Solicitors and Property Lawyers are allowed to expand existing panels on any form and, if the software allows this, this should reduce the need to use form CS.
Conveyancing Solicitors and Property Lawyers should ensure that the title numbers listed on form CS are in ascending alphanumerical order.
How to get advance approval to the transfer
Conveyancing Solicitors and Property Lawyers can send a copy of the transfer, at draft stage, to the customer service manager at the relevant office for Small Scale Applications or to the Commercial Arrangements Section for Large Scale Applications, whichever is appropriate. It will be treated in confidence and Land Registry will point out any amendments that are needed to comply with the Land Registration Act 2002 and Land Registry Rules 2003 and to avoid requisitions when the transfer is lodged for registration.
